Terms of Service
These Terms (the "Agreement") govern your use of the AdPilot software service (the "Service") operated by Shuhai Marketing("AdPilot", "we"). By creating an account or paying a subscription you agree to these Terms. If you don't agree, don't use the Service.
1. The Service
AdPilot helps you launch and manage advertising campaigns on Meta (Facebook and Instagram) and, over time, additional platforms. The Service may generate creative assets, recommend changes, and write changes to your connected ad accounts when you confirm them.
2. Your account
- You must be at least 18 years old and have authority to bind your business.
- You're responsible for everything that happens under your account.
- Keep your password and your connected Meta credentials safe.
- One person or organization per account. No sharing accounts to circumvent tier limits.
3. Acceptable use
You will not:
- use AdPilot to advertise content that violates Meta's Advertising Standards (illegal products, discriminatory practices, misinformation, etc.),
- attempt to reverse-engineer, scrape, or interfere with the Service,
- resell or sublicense access to AdPilot outside of an Agency tier where multi-account management is included,
- upload images, copy, or data that infringe someone else's rights,
- use AdPilot to send unsolicited messages or run lead-gen campaigns that violate CASL, CAN-SPAM, GDPR, or similar laws.
We may suspend or terminate accounts that violate this section. Where practical we'll give you a chance to fix the issue first.
4. Subscriptions, billing, and renewals
- Subscriptions are billed in advance, monthly or annually, via Stripe.
- Plans renew automatically at the same tier until you cancel through the Customer Portal.
- We may change list prices for new sign-ups at any time. For existing paying customers, price increases take effect no sooner than 30 days after notice. Founding 50 customers keep their locked-in price for as long as their subscription remains continuously active.
- Taxes are added where required by law (GST/HST in Canada, sales tax in the United States, VAT where applicable).
5. Free trial and refunds
- If we offer you a free trial, the credit card on file will be charged when the trial ends unless you cancel first.
- 14-day money-back: if you cancel within 14 days of your first paid charge and email us at office@shuhaimarketing.ca, we'll refund the most recent charge in full.
- After 14 days, fees are non-refundable except where required by law. You can cancel at any time and you keep access through the end of the paid period.
- The $50 founding deposit, paid before product launch, is fully refundable on request until your subscription activates; once activated, the deposit is credited toward month 1.
6. Failed payments
If a charge fails, Stripe will retry several times over 3–7 days. We will email the billing contact. If payment still fails, the account moves to past_due with read-only access; after a further 14 days the account is downgraded to read-only and write actions (publishing ads, edits, etc.) are paused until billing is fixed.
7. Your content and ad accounts
- You keep ownership of everything you upload, write, or publish through AdPilot, including creatives generated on your behalf.
- You grant us a limited licence to host, process, and display that content solely to run the Service for you.
- You authorize AdPilot to act on your behalf within the Meta ad account(s) you connect, including reading insights, creating campaigns/ads in PAUSED status, and applying changes you confirm in-product.
- AI-generated text and images are provided as drafts. You are responsible for reviewing them before publishing and for compliance with Meta's policies and applicable advertising laws.
8. Our content
The Service, including the software, design, templates, and documentation, is owned by Shuhai Marketing and protected by copyright and other intellectual-property laws. You may not copy, modify, distribute, or create derivative works of the Service.
9. Privacy and data processing
Our Privacy Policy describes what data we collect and how we use it. For business customers handling personal data of consumers through AdPilot, our Data Processing Agreement is incorporated by reference. The current Sub-processors list applies.
10. Service availability
We aim for high uptime but we don't guarantee uninterrupted service. Scheduled maintenance, third-party outages (Meta, Stripe, Google, Neon, etc.), and force majeure may cause downtime. We do not offer a contractual SLA on the SMB-tier plans; Agency Pro and Founding customers may request a written SLA addendum.
11. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
AdPilot does notguarantee any specific advertising result — number of leads, cost per result, return on ad spend, or sales volume. Ad performance depends on many factors outside our control, including your offer, market, audience, and Meta's algorithms.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or revenue, even if advised of the possibility.
Each party's total aggregate liability arising out of or relating to this Agreement, regardless of cause, will not exceed the fees paid by you to AdPilot in the 3 months immediately preceding the event giving rise to the claim. This cap does not apply to your obligation to pay fees due, or to liability that cannot be limited by law.
Important:AdPilot is not your financial, legal, or tax advisor. Money you spend on advertising is paid by you directly to Meta — we don't hold or process those ad funds.
13. Indemnification
You agree to defend and indemnify Shuhai Marketing against any third-party claim arising from (a) content you upload or publish through AdPilot, (b) your violation of these Terms or applicable law, or (c) your products or services advertised through the Service.
14. Termination
- You can cancel at any time through the Customer Portal. Access continues through the end of the paid period.
- We can suspend or terminate the account if you breach these Terms, fail to pay, or if continuing service would expose us to legal risk. Where reasonable we will give notice and a chance to cure.
- On termination, we will delete your data within 30 days unless legal or accounting obligations require us to keep specific records longer.
15. Changes to the Service or Terms
We may update the Service. We may update these Terms; material changes will be announced at least 30 days before they take effect via email and an in-product notice. Continued use after the effective date constitutes acceptance.
16. Governing law and disputes
This Agreement is governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein. The courts located in Calgary, Alberta have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
17. Miscellaneous
- Entire agreement. These Terms (with the Privacy Policy and any DPA) are the entire agreement between you and us about the Service.
- Severability. If any part is unenforceable, the rest stays in effect.
- No waiver. Our failure to enforce a right is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
